Capitalized terms herein shall have the meaning set out in the Terms of Use or as defined in this policy (the “Beta Services Policy”). The definitions and interpretation rules set out in the Terms of Use shall be applicable to this Beta Services Policy. The Operator may update this Beta Services Policy from time to time.
1. Definitions
“Beta Services” means any Operator product, feature, module, integration, model, API, or functionality identified by Operator as alpha, beta, pilot, preview, early access, experimental, developer preview, or otherwise not generally available.
“Test Data” means any and all data, content, information, or materials that the Client or its Users provide, submit, upload, or make available to the Beta Services for evaluation purposes.
“Usage Data” means technical data related to the User’s use of the Beta Services, such as information on User interactions with features, service configuration, performance metrics, API calls, and other diagnostic and operational data. For clarity, Usage Data does not include the specific content of any Test Data submitted by the Client.
2. Scope and agreement
This Beta Services Policy governs the Client’s access to and use of the Beta Services. By accessing or using the Beta Services, the Client agrees to be bound by the terms herein. Unless expressly stated otherwise in writing, Beta Services are provided for non-production evaluation only and should not be relied upon for mission-critical purposes.
Beta Services may be provided at no charge or for pilot fees as stated in a separate Order. Any free access to a Beta Service does not create an obligation for the Operator to provide the same functionality at no charge if or when it becomes generally available.
The Operator may impose limits, quotas, usage restrictions, or geographic limitations on the Beta Services and may modify them at any time in its sole discretion.
3. Support, availability & changes
Beta Services are provided without any uptime commitments, support guarantees, or service levels. The Operator may modify, suspend, or discontinue Beta Services, in whole or in part, at any time without notice. Any statements regarding future features or functionality are for informational purposes only and are not binding commitments.
4. Security and data handling
Security: The Operator will apply commercially reasonable safeguards appropriate for pre-release services, which may differ from the controls for its generally available services.
Data residency: The Client acknowledges that Beta Services may use different hosting regions, infrastructure, or Subprocessors than the Operator’s generally available services and may not support specific data residency commitments.
Telemetry: The Operator may collect and use Usage Data and de-identified Test Data to operate, secure, and improve the Beta Services and to develop new products and services.
Retention and Deletion: The Operator may retain Test Data for the duration of the beta program plus a reasonable period thereafter for analysis (not to exceed 90 days), after which the Operator will delete or de-identify it, except where retention is required by law.
5. Feedback
The Client may provide feedback in connection with using the Beta Services. The Client grants the Operator a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, reproduce, commercialize, and otherwise exploit the feedback without any obligation or compensation. Feedback shall not be deemed the Client’s Confidential Information.
6. Disclaimer of warranties
BETA SERVICES AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. THE OPERATOR DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE OPERATOR DOES NOT WARRANT THAT THE BETA SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THE CLIENT’S USE OF THE BETA SERVICES IS AT ITS SOLE RISK, AND THE OPERATOR MAKES NO COMMITMENT TO RELEASE ANY BETA SERVICES INTO GENERAL AVAILABILITY.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THE BETA SERVICES.
THE OPERATOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS BETA SERVICES POLICY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). THE BETA SERVICES ARE EXPRESSLY EXCLUDED FROM ANY INDEMNIFICATION OBLIGATIONS OF THE OPERATOR. THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL BASIS OF THE AGREEMENT TO PROVIDE BETA SERVICES.
Nothing in this Policy shall exclude or limit liability where not permitted by applicable law.
8. Indemnification
To the fullest extent permitted by law, the Client agrees to indemnify, defend, and hold harmless the Operator and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) the Client’s access to or use of the Beta Services; (b) the Test Data submitted by the Client; or (c) the Client’s breach of this Beta Services Policy or any applicable law.
9. Term and termination
The Operator reserves the right to suspend or terminate the Client’s access to the Beta Services at any time and for any reason. Upon termination, the Client must immediately cease use of the Beta Services. The Operator is not obligated to provide migration or transition services. The provisions of Sections 5, 6, 7 and 8 shall survive any termination of this Policy.
