AI Policy

Capitalized terms herein shall have the meaning set out in the Terms of Use or as defined in this policy (the “AI Policy”). The definitions and interpretation rules set out in the Terms of Use shall be applicable to this AI Policy. The Operator may update this AI Policy from time to time, and the Client’s continued use of the AI Services after any update constitutes acceptance of the revised terms.

1. Definitions

  • Input means any data (including personal data), Contents, or information that the Client provides, uploads, or submits to the AI Services or that the AI Services otherwise access, collect, or process from the Client’s account to generate Output or provide the AI Services.
  • Output means any data, content, information or actions generated, returned or performed by the AI Services in response to the Client’s Input.
  • Third-Party AI Provider means any external service provider engaged by the Operator to facilitate AI Services.
  • Client Agents means autonomous AI agents created, configured, or deployed by the Client within the Services.
  • External Agents means AI agents, applications, or systems operated outside the Services but integrated with the Services through APIs, MCP, or similar protocols.

2. Use of AI features

2.1. To enhance the Clients’ experience, the Operator may utilize AI technologies within its Services. By default, the Client’s site on the Platform is enabled to use these features. Use of AI features is not mandatory and the Client may disable them. However, disabling some or all AI features may materially limit the capabilities, performance, or availability of certain functionality within the Services, and certain automations or workflows may be unavailable or require manual alternatives. 

2.2. The Operator may impose usage limits (e.g., rate limits, quotas) on AI Services at its discretion to protect system stability. The Operator may introduce fees or premium tiers for certain AI Services at its discretion.

2.3. The Operator reserves the right to suspend, limit or restrict the Client’s access to AI Services in the event of suspected misuse, excessive consumption, non-payment of applicable fees, or for legal reasons.

3. Use of Input and Output

3.1. The Operator will not use identifiable Client Input or Output to train generalized AI models except without the Client’s consent.

3.2. Notwithstanding section 3.1, the Operator may use aggregated, anonymized usage statistics (excluding Client Input and Output) to improve its Services, provided such data cannot be used to identify the Client or its Users.

3.3. Notwithstanding section 3.1, the Operator may also process Client Input and Output as necessary to monitor misuse, ensure compliance with this AI Policy, and improve the security and reliability of the AI Services.

3.4. The Client is responsible for the Input and resulting Output, and how that Output is used, including ensuring that they do not violate any applicable laws or the Terms of Use.

4. Ownership 

4.1. As between the Operator and the Client, and without limiting any other terms, including intellectual property provisions set out in the Terms of Use or elsewhere in the Contract:

  • The Client retains all of its ownership rights in the Input.
  • The Operator does not claim ownership of the Output, and to the extent legally possible, assigns any ownership rights it may have in the Output to the Client, subject to third-party rights and applicable law.
  • The Operator retains ownership of and reserves all rights in the underlying AI models, systems, and any derivative works, improvements, or feedback provided by the Client.

5. Third-Party AI Providers

5.1. The Operator may use services from Third-Party AI Providers as sub-processors to provide some of the AI Services. These Third-Party AI Providers support and enhance the Operator’s ability to provide AI Services to the Client.

5.2. The Client acknowledges that Outputs may be generated partly or wholly by Third-Party AI Providers.

5.3. The Operator disclaims liability for acts or omissions of Third-Party AI Providers, subject to the limitations in this Policy.

6. AI Agents 

6.1. The Client may be provided with functionality to create, configure, or deploy Client Agents within the Services. The Client is solely responsible for the actions, decisions, and Outputs of any such Client Agents, including ensuring that their use complies with this AI Policy, the Terms of Use, and applicable law.

6.2. Subject to technical limitations and Platform’s capabilities, the Operator may allow the Services to connect with External Agents. Where the Client authorizes such integrations, the Client is solely responsible for the acts and omissions of the External Agents and for any data shared with them. The Operator does not control, endorse, or assume responsibility for External Agents.

6.3. The Operator may suspend, restrict, or block access to any Client Agent or External Agent that it reasonably determines may pose a risk to the Services, the Operator, or third parties. The Operator shall not be liable for any loss of functionality or data resulting from such suspension or restriction.

7. Availability

7.1. The Operator strives to provide reliable AI Services but does not guarantee uninterrupted access.

7.2. Downtime or degradation of AI Services resulting from failures of Third-Party AI Providers, External Agents, or other third-party systems shall not count toward uptime commitments under the Terms of Use or any Service Level Policy.

7.3. The Operator reserves the right to limit the availability of AI Services based on the Client’s location, place of establishment, applicable laws, or the location of individuals impacted by the AI Services.

8. WARRANTY DISCLAIMER 

8.1. THE CLIENT ACKNOWLEDGES THAT AI SERVICES ARE PROBABILISTIC AND MAY GENERATE INACCURATE, INCOMPLETE, OR OFFENSIVE CONTENT. THE OPERATOR PROVIDES AI SERVICES “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

8.2. THE CLIENT IS SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ANY AI-GENERATED CONTENT BEFORE RELYING ON IT. THE OPERATOR DOES NOT WARRANT THAT AI SERVICES WILL BE ERROR-FREE, SECURE, FREE OF DEFECTS, OR THAT OUTPUTS WILL MEET THE CLIENT’S EXPECTATIONS OR REQUIREMENTS.

8.3. THE OPERATOR MAY MODIFY, SUSPEND, OR DISCONTINUE AI SERVICES (IN WHOLE OR IN PART) AT ANY TIME WITHOUT LIABILITY FOR RESULTING IMPACTS ON THE CLIENT.

9. Acceptable use

9.1. The Client shall not use the AI Services to:

  • Generate content that is illegal, harmful, harassing, or violates the rights of others.
  • Engage in or facilitate any fraudulent or deceptive activities.
  • Generate or spread misinformation or disinformation.
  • Attempt to reverse-engineer or discover the underlying components of the models, algorithms, and systems of the AI Services.
  • Use the AI Services in high-risk contexts (e.g., medical, legal, financial, or safety-critical applications) unless expressly authorized by the Operator in writing.

9.2. The Operator may monitor usage of AI Services to ensure compliance with this AI Policy, the Terms of Use and applicable Legal Acts. The Operator may immediately suspend or terminate Client’s access if misuse is detected.

10. Indemnification

The Client shall indemnify, defend, and hold harmless the Operator and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from (i) the Client’s use of AI Services, (ii) the Client’s Input or Output, or (iii) the Client’s violation of this AI Policy or applicable laws.

11. Limitation of liability

11.1. To the maximum extent permitted by law, the Operator shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including damages for loss of profits, goodwill, or data, arising from or relating to the AI Services, even if advised of the possibility of such damages.

11.2. Without prejudice to any other limitations of liability set out in this AI Policy, Terms of Use or elsewhere in the Contract, the Operator’s total aggregate liability in connection with the AI Services shall not exceed the amount paid by the Client for the Services in the three (3) months preceding the event giving rise to the claim.

11.3. The Client is solely responsible for Client Agents and External Agents, and the Operator disclaims liability for their actions or Outputs. The Client acknowledges that AI Services are probabilistic and assumes full responsibility for their use.
